By accessing or using the platform, APIs, and services (collectively, the "Services") provided by SPARK INTER COMMERCE PTE. LTD. ("we," "us," or "our"), you ("Merchant", "you") agree to be bound by these Terms of Service, along with our Privacy Policy and any customized Merchant Agreement executed between you and SPARK INTER COMMERCE. If you do not agree to these terms, you must immediately cease use of our Services.
SPARK INTER COMMERCE acts as a unified platform providing cross-border acquiring, payment processing, fraud prevention (AI risk control), and settlement solutions for independent e-commerce merchants. We facilitate the routing and processing of payments through global card networks and alternative payment methods.
To use our Services, you must register for a SPARK merchant account. You represent and warrant that:
You may not use SPARK's Services to facilitate illegal transactions or to permit others to use the Services for personal, family, or household purposes. Prohibited activities include, but are not limited to:
Fees: Our processing fees, transaction costs, and any applicable subscription or value-added service fees will be detailed in your specific Merchant Agreement. We reserve the right to adjust fees with prior written notice.
Settlement: We will settle collected funds to your designated bank account according to the agreed-upon payout schedule, subject to card network clearing times and our risk assessment.
Reserves: SPARK INTER COMMERCE may, at its sole discretion, place a rolling or fixed reserve on your account to mitigate risks related to chargebacks, refunds, or fraud. The terms of any reserve will be communicated to you and may be adjusted based on your risk profile and processing history.
You are solely responsible for all customer disputes, chargebacks, and refunds. You agree to cooperate with SPARK and provide necessary documentation to contest chargebacks. If your chargeback ratio exceeds card network thresholds (typically 0.9%), SPARK reserves the right to suspend processing, increase reserve requirements, or terminate your account.
We employ proprietary AI-driven risk control measures to monitor transactions. We reserve the right to decline or delay processing any transaction that we deem suspicious. You are responsible for maintaining the security of your account credentials and ensuring your website complies with PCI DSS standards regarding the transmission of payment data.
All intellectual property rights in the SPARK platform, APIs, documentation, and branding belong exclusively to us. We grant you a limited, non-exclusive, non-transferable license to use our Services during the term of your agreement. You may not reverse-engineer, copy, or modify any part of our technology.
To the maximum extent permitted by law, SPARK INTER COMMERCE PTE. LTD., its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits, lost revenue, or data loss) arising out of or in connection with your use of our Services, even if advised of the possibility of such damages. Our total liability for any claims shall not exceed the total fees paid by you to SPARK in the three (3) months preceding the claim.
You agree to indemnify, defend, and hold harmless SPARK INTER COMMERCE against any third-party claims, losses, fines, penalties, or expenses (including legal fees) arising from your breach of these Terms, violation of applicable laws, or customer disputes (including chargebacks).
These Terms remain in effect until terminated by either party. You may terminate your account by providing written notice as per your Merchant Agreement. SPARK may suspend or terminate your account immediately if you violate these Terms, pose an unacceptable credit or fraud risk, or if required by card networks or regulatory authorities.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict of law principles. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Atlanta, Georgia.
